Attica Department Stores S.A. and its sole existing shareholder, KYMORA Limited, have officially announced the availability of up to 18,000,000 existing shares to the investment public. This will be facilitated through a public offering and a parallel placement, with the ultimate goal of listing all company shares on the Regulated Market of Euronext Athens.
Details of the Public Offering
The announcement specifies that the prospectus, approved at the meeting of the Board of Directors of the Hellenic Capital Market Commission on June 17, 2026, is now available. This prospectus has been prepared in accordance with Regulation (EU) 2017/1129, delegated Regulations (EU) 2019/979 and (EU) 2019/980, and Law 4706/2020, as well as the ESMA public announcement of May 7, 2026.
The offering includes up to 18,000,000 existing common, registered, voting shares, each with a nominal value of €0.41, owned by the Selling Shareholder. Of these:
- Up to 17,100,000 shares (the “Offered Shares”) will be offered to the investment public through a public offering in Greece (the “Public Offering”).
- Up to 900,000 shares will be offered through a parallel placement to a limited circle of persons, in accordance with the Board of Directors’ resolutions of the Selling Shareholder dated June 8, 2026, and June 15, 2026, and decision no. 4/379/18.4.2006 of the Board of Directors of the Hellenic Capital Market Commission (the “Parallel Placement to a Limited Circle of Persons”).
The introduction of all company shares (the “Shares”) for trading on the Regulated Market of Euronext Athens (the “Euronext Athens”) is based on the decision of the extraordinary general meeting of the company’s shareholders dated June 8, 2026 (the “Listing”).
Share Distribution and Proceeds
It is important to note that any shares not distributed through the Parallel Placement to a Limited Circle of Persons will increase the number of Offered Shares to be distributed through the Public Offering.
Furthermore, the Company is not offering shares in the Public Offering or in the Parallel Placement to a Limited Circle of Persons and will not receive any proceeds from the sale of the Offered Shares or the shares offered through the Parallel Placement to a Limited Circle of Persons. All net proceeds from the Public Offering and the Parallel Placement to a Limited Circle of Persons will accrue to the Selling Shareholder.
Participation and Timeline
Information regarding the process for investors to participate in the Public Offering is provided in section 8, “Public Offering / Listing Details,” of the Prospectus.
The expected timeline for the Public Offering and the Listing of all Shares on Euronext Athens is as follows:
| Event | Date |
| Start of Public Offering | June 24, 2026 |
| End of Public Offering | To be announced |
| Listing on Euronext Athens | To be announced |
It should be noted that the above timeline is subject to unforeseen factors and may change. In any case, the investment public will be informed through the Euronext Athens Daily Official List and the Company’s website with a relevant announcement.
Cancellation Clause
If the final decision on the Listing by Euronext Athens regarding the satisfaction of the free float criterion is negative, the Public Offering will be cancelled. In such a scenario, the funds of the participants in the Public Offering will be returned to investors without interest within three (3) Business Days from the end of the Public Offering, and they will not receive shares of the Company.
This move by Attica Department Stores signifies a significant step in its financial strategy, aiming to broaden its investor base and enhance its market presence through a listing on a major European stock exchange.
